Terms of Service
These terms apply to TrainMedi software licences, digital products, implementation services, consulting and training unless a signed customer agreement states otherwise.
1. Supplier
TrainMedi is the contracting supplier for products and services purchased directly from TrainMedi. Commercial documents, invoices and order confirmations identify the applicable product, customer, price, currency, licence period and scope.
2. Software licences
Unless an order states otherwise, software is licensed and not sold. A licence is limited to the customer, organization, site, unit, users, devices, modules, term and other limits stated in the order or licence file. The customer may not resell, sublicense, copy for unauthorized deployment, reverse engineer, bypass licence controls or distribute TrainMedi software except where expressly permitted in writing.
3. Implementation and delivery
Digital licences, activation files, access credentials or deployment packages are delivered electronically after confirmed payment and completion of any required customer information. Implementation, configuration, migration, integration, training or onsite work is supplied only where included in the order.
4. Customer responsibilities
The customer is responsible for the accuracy and lawful use of information entered into TrainMedi products, appropriate local access controls, backups where applicable, and compliance with its own organizational, clinical, employment, privacy and records-management requirements.
5. Payments and taxes
Prices, billing frequency, currency and applicable taxes are shown before payment or on the commercial quotation/invoice. Payment must be made through an approved TrainMedi payment method. TrainMedi does not intentionally store full payment-card numbers or CVV data when hosted payment processing is used.
6. Renewals
Where a product is sold on a recurring or annual licence, renewal pricing and the renewal period are stated in the order or product page. A licence may stop validating after expiry if it is not renewed. Any automatic recurring billing will be disclosed before the customer authorizes payment.
7. Support and updates
Support and update entitlement depends on the purchased product and plan. TrainMedi may issue maintenance, security and compatibility updates. Material custom development or third-party integration is outside standard support unless expressly included.
8. Intellectual property
TrainMedi and its licensors retain all rights in TrainMedi software, product design, documentation, branding, source materials and proprietary operational models, including RUISA™-related materials, except for rights expressly granted to the customer.
9. Availability and warranties
TrainMedi will use reasonable care in supplying its products and services. Unless expressly stated in a signed agreement, software is provided for operational support and does not replace professional judgment, clinical governance, statutory obligations or organizational decision-making.
10. Suspension and termination
TrainMedi may suspend access or licence validity for material non-payment, unauthorized use, security abuse or material breach, subject to applicable agreements and law. Termination does not transfer ownership of TrainMedi intellectual property to the customer.
11. Refunds
Refund and cancellation rules are described in the Refund, Cancellation & Digital Delivery Policy.
12. Privacy
TrainMedi's handling of website and customer-contact information is described in the Privacy Policy. Customer data stored inside locally deployed products remains subject to the customer's own data governance and the applicable product agreement.
